Evogen One - Terms & Conditions of Sale

1. About us and these terms

1.1 This website is operated by Genesis Biosciences LLC trading as Evogen One ("we", "us", "our"), a limited liability company registered in the State of Georgia, USA, under control number 14004366, with its principal place of business at 696 Winer Industrial Way, Lawrenceville, GA 30046, USA. Our UK office, which you can use for all correspondence and returns, is at Unit P1, Capital Business Park, Capital Point, Parkway, Cardiff, CF3 2PU, UK. Our UK VAT number is GB 845 7181 07. Our UK affiliate, Genesis Biosciences Ltd, acts as our representative in the UK for data protection purposes (see our Privacy policy).

1.2 You can contact us by email at orders@genesisbiosciences.com, by phone on +44 (0)29 2079 1185 or by post at the address listed above.

1.3 These terms apply to every order placed through this website. Please read them before ordering. By placing an order you agree to them.

1.4 We sell to two kinds of customer, and some of these terms apply differently to each:

  • Consumers - individuals buying wholly or mainly for purposes outside their trade, business, craft or profession.

  • Trade customers – businesses, professionals and anyone else buying for business purposes.

1.5 Sections marked "Consumers only" do not apply to trade customers, and section 10 applies only to trade customers. Where a section does not say, it applies to everyone.

1.6 If you are a consumer, nothing in these terms affects your statutory rights.

3. Accounts, eligibility and trade accounts

3.1 To place an Order you must be at least 18 years old and use a valid debit or credit card, or another payment method we accept, that you are authorised to use.

3.2 You must give us accurate, complete and up-to-date information when you create an account or place an Order. You are responsible for keeping your login details confidential.

3.3 Trade pricing is available only to approved trade customers. To apply, you must give us proof of trade, e.g. business name and address, company registration number or VAT number. We may approve or decline a trade application at our discretion.

3.4 We may suspend or close an account, or decline an Order, if we reasonably believe the information provided is false, the account is being misused, or these terms have been breached. If we close an account with Orders outstanding, we will either fulfil them or give a full refund.

3.5 If you order on behalf of a business, you confirm that you have authority to bind that business to these terms.

4. Orders and how the contract is formed

4.1 Before you submit an Order, the checkout lets you review it and correct any input errors. Please check it carefully.

4.2 After you submit an Order, we will email you an acknowledgement that we have received it. This acknowledgement is not acceptance of your Order.

4.3 The Contract is formed only when we send you an Order Confirmation email accepting your Order. We usually send this when the Goods are ready to dispatch.

4.4 We may decline an Order, for example if the Goods are out of stock, there is a pricing error (see section 5.4), we cannot authorise payment, or you do not meet the eligibility requirements in section 3. If we decline your Order after taking payment, we will refund you in full within 14 days.

4.5 We may limit the quantity of any item supplied to one customer or address.

4.6 These terms are available in English only. We do not file a copy of each individual Contract, so please save or print these terms and your Order Confirmation for your records.

4.7 Before you submit an Order, you will be asked to tick a box to confirm that you accept these terms. If you do not accept them, you cannot order.

5. Prices, payment and pricing errors

5.1 Prices are shown in pounds sterling. The main price shown for each product includes VAT, and the price excluding VAT is shown underneath for reference. As delivery is free (see section 5.2), the VAT-inclusive price is the total price you pay. Business customers will receive a VAT invoice for each Order.

5.2 Delivery is free. We only deliver to addresses in Mainland UK, and we do not accept orders for delivery anywhere else.

5.3 We may change our prices at any time, but changes will not affect Orders already accepted.

5.4 If we find an obvious error in the price of Goods you have ordered, we will contact you as soon as possible. You can then choose to reconfirm the Order at the correct price or cancel it. If we cannot reach you, we will treat the Order as cancelled and refund any payment in full.

5.5 When you place an Order, we may pre-authorise your card to check funds are available. We will take payment when we accept your Order under section 4.3. [Trade customers with an approved credit account: see section 10.]

5.6 We accept most global credit and debit cards.

5.7 Discount codes. We may offer promotions and discount codes. A code is usually valid for one Order only, must be entered before you submit your Order and cannot be added afterwards. We may withdraw a promotion or code at any time, and we do not have to honour codes or promotions published on third-party websites.

6. Product information and safe use

6.1 We take care to describe and photograph the Goods accurately. Colours on screen can vary, and packaging may change from time to time.

6.2 Please read the label, safety data sheet and instructions before using the Goods. Use, dilute and store the Goods only as directed, never mix them with other cleaning products or chemicals, keep them out of reach of children, and stop using them if irritation occurs.

6.3 The Goods are supplied as a concentrate. Dilution rates, handling and first-aid information are given on the product label, and the safety data sheet and full label text are available on the product page of the Website. We can also send a copy on request. Use the Goods only as directed.

6.4 You are responsible for checking that the Goods are suitable for the purpose you want them for, and for using them in line with the label, safety data sheet and any other instructions we provide. This information may be updated from time to time, so please check it before each use. This does not affect your statutory rights as a consumer.

6.5 Recalls. If we need to recall the Goods for safety or quality reasons, we will contact you using your order details. You must stop using the affected Goods and follow our instructions. Trade customers must also cooperate with the recall and promptly return affected Goods. We will replace or refund recalled Goods.

6.6 Live microbial product. The Goods contain live, naturally occurring Bacillus spores that help break down soils and odours. They are a cleaning product, not a disinfectant or biocide, and are not intended to kill germs. Use them only for the cleaning purposes described on the label. Do not apply them directly to people or animals, and do not use them on food. If anyone in the household or workplace where the Goods will be used has a weakened immune system, or you are unsure whether the Goods are suitable, please seek advice before using them and contact us with any questions.

6.7 Storage. Store the Goods in their original closed container, away from direct sunlight, at 5-40oC, and do not let them freeze. We are not responsible for reduced performance in those circumstances. If you are a consumer, this does not affect your statutory rights.

7. Delivery, risk and ownership

7.1 We deliver to addresses in mainland UK only (see section 5.2) excluding the Highlands, Isle of Wight, Scottish Islands, Northern Ireland, Isle of Man and Channel Islands. Estimated delivery times are shown at checkout. We usually dispatch within 1-2 Working Days of accepting your Order.

7.2 Unless we agree a different date with you, we will deliver within 30 days of accepting your Order.

7.3 If delivery is delayed by an event outside our control, we will tell you and take steps to minimise the delay (see section 12).

7.4 Consumers: if we do not deliver within 30 days or the agreed time, you may cancel the Contract and receive a full refund for any Goods not delivered. The Goods are our responsibility until they are delivered to you or to someone you nominate. If an Order is lost in transit, we will send a replacement or refund you.

7.5 Trade customers: risk in the Goods passes to you on delivery to the address you gave us. Delivery dates are estimates and time of delivery is not of the essence.

7.6 Ownership of the Goods passes to you once we have received payment in full.

7.7 If nobody is available to receive the Goods, the carrier will leave a note explaining how to rearrange delivery or collect them. If you do not collect or rearrange within the given timeframe, we may cancel the Order and refund you, less any reasonable redelivery or storage costs.

8. Your right to cancel (consumers only)

8.1 If you are a consumer, you have the right to cancel your Contract within 14 days without giving a reason. The cancellation period ends 14 days after the day you, or someone you nominate (other than the carrier), receive the Goods. For an Order delivered in separate parts, it ends 14 days after you receive the last part.

8.2 To cancel, tell us clearly before the period ends. You can email orders@genesisbiosciences.com, write to Unit P1, Capital Business Park, Capital Point, Parkway, Cardiff, CF3 2PU, UK, or use the model cancellation form in the Appendix. Using the form is optional. Your cancellation takes effect from the date you send it.

8.3 You must send the Goods back to Unit P1, Capital Business Park, Capital Point, Parkway, Cardiff, CF3 2PU, UK without undue delay, and no later than 14 days after telling us you are cancelling. You pay the direct cost of returning the Goods. We suggest you use a tracked service and keep proof of postage until your refund has been paid.

8.4 We will refund the price of the Goods, using the same payment method. We will refund within 14 days of receiving the Goods back, or of you providing evidence that you have sent them, whichever is earlier.

8.5 You may handle the Goods only as you would in a shop, to check their nature and characteristics. We may reduce your refund to reflect any loss in value caused by handling beyond that.

8.6 The right to cancel does not apply to Goods that were sealed when delivered and that you have unsealed, because they are not suitable for return for health protection or hygiene reasons, or to Goods that have been diluted or mixed with other items. Only unopened, sealed Goods can be returned under this section.

8.7 This section does not affect your rights for faulty or misdescribed Goods (see section 9), which apply whether or not a product has been opened.

9. Faulty or misdescribed goods (consumers only)

9.1 Please contact us at orders@genesisbiosciences.com as soon as possible if you think Goods are faulty, damaged on arrival, or not as described. Include your order number and, where possible, a photo.

9.2 We will pay reasonable costs of returning faulty Goods to us, and refund you within 14 days of agreeing you are entitled to a refund.

9.3 By law, the Goods must be as described, of satisfactory quality and fit for their purpose. If they are not, you may be entitled to a repair, replacement, price reduction or refund, depending on the circumstances and how soon you tell us. This includes a right to reject faulty Goods within 30 days of delivery.

9.4 For more information on your rights, visit Citizens Advice.

10. Trade customers

This section applies only to trade customers and takes priority over any other section where they conflict.

10.1 No cancellation right. The 14-day cancellation right in section 8 does not apply. If Goods are not in a usable condition on delivery, we will normally replace them, and we may ask you to return them (at your cost, securely packed) for examination. Otherwise, Goods may be returned only with our prior written consent.

10.2 Damage and shortages. You must inspect the Goods on delivery and tell us of any damage, shortage or defect visible on inspection within 3 Working Days. Hidden defects must be reported within a reasonable time of discovery. Claims for non-delivery must be made in writing within 5 Working Days of the estimated delivery date.

10.3 Faulty Goods. Where Goods are materially defective on delivery, and you notify us promptly, our only obligation is, at our option, to repair, replace or refund them. We are not liable where the defect results from fair wear and tear, misuse, failure to follow instructions, improper storage, or alteration. Subject to section 10.8, all warranties, conditions and other terms implied by statute or common law, including those implied by sections 13 to 15 of the Sale of Goods Act 1979, are excluded to the fullest extent permitted by law.

10.4 Resale. You may resell the Goods in their original, unopened packaging. You must not repackage, decant, relabel or make claims about the Goods beyond those we make.

10.5 Your terms. These terms apply to the exclusion of any terms you seek to impose, including on a purchase order.

10.6 Liability cap. Subject to section 10.7, our total liability to a trade customer arising from or in connection with any Order, however arising (including negligence, breach of statutory duty or misrepresentation), is limited to the price paid (excluding VAT) for the affected Goods. We are not liable for any loss of or damage to profit, revenue, business, contracts, production, bargain, opportunities, anticipated savings, data, goodwill, reputation or use, for any indirect or consequential loss, or for any claim made against you by a third party. Each of these exclusions is separate, so if one is found unenforceable the others still apply.

10.7 Exceptions. Nothing in this section 10 limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for breach of the terms implied by section 12 of the Sale of Goods Act 1979, or for anything else that cannot be limited or excluded by law. Subject to that, the limits in this section 10 apply whether or not the loss was foreseeable.

10.8 Export. You must not export the Goods outside the UK, or sell them to anyone you know or reasonably suspect intends to export them, unless you have first confirmed that the Goods can lawfully be sold in the destination country and have the express permission of Genesis Biosciences LLC. You are responsible for meeting any registration, labelling, translation or other requirements that apply there.

10.9 Indemnity. You will indemnify us against all losses, liabilities, damages, costs (including reasonable legal fees) and expenses we suffer or incur as a result of: (a) your breach of section 10.5 or 10.10; or (b) your use, storage, handling or resale of the Goods other than in line with the label, safety data sheet and our instructions.

11. Our liability

11.1 Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded by law. For consumers, this includes your rights under the Consumer Rights Act 2015.

11.2 Consumers: we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable. We supply Goods for domestic and private use only, and are not liable to consumers for any loss of profit, business or business opportunity. We are also not responsible for loss or damage caused by your failure to follow the label, safety data sheet or our instructions for using, diluting or storing the Goods.

11.3 Trade customers: see section 10.6.

12. Events outside our control

12.1 We are not responsible for delays or failure to perform caused by events outside our reasonable control, such as strikes or other industrial action, civil commotion, riot, war or terrorism, fire, explosion, storm, flood, epidemic or other natural disaster, failure of telecommunications networks or transport (including severe congestion), carrier failures, supplier shortages or government action.

12.2 If such an event affects your Order, we will contact you as soon as possible and take steps to minimise its effect. Our obligations are suspended while the event continues. If there is a risk of substantial delay, you may cancel the affected Order and we will refund you for any Goods not received.

13. Privacy, complaints and general terms

13.1 Privacy. We use your personal information only as set out in our Privacy policy.

13.2 Complaints. If you have a complaint, contact us at orders@genesisbiosciences.com. We aim to acknowledge complaints within 2 Working Days and resolve them within 14 days. If we cannot resolve your complaint, you may refer it to Retail ADR, an independent alternative dispute resolution provider (www.retailadr.org.uk). We will consider using Retail ADR on a case-by-case basis.

13.3 Changes to these terms. We may update these terms from time to time. The version in force when you place an Order applies to that Order.

13.4 Transfer. We may transfer our rights and obligations under a Contract to another organisation. If you are a consumer, we will tell you and you may cancel any affected Order for a full refund. You may not transfer your rights without our written consent.

13.5 Governing law. These terms are governed by the law of England and Wales. Consumers may bring proceedings in the courts of England and Wales, or in Scotland or Northern Ireland if they live there. Trade customers submit to the exclusive jurisdiction of the courts of England and Wales.

13.6 Entire agreement. These terms and your Order Confirmation are the whole agreement between us about the Goods. Trade customers confirm that they have not relied on any statement that is not set out in them.

13.7 Third parties. Only you and we have rights under a Contract, and no other person can enforce its terms.

13.8 Severance. If a court or other authority decides that any part of these terms is invalid or unenforceable, the rest of the terms will continue to apply.

13.9 No waiver. If we do not insist that you meet any of your obligations, or we delay enforcing our rights, this does not mean we have given up those rights.

13.10 Intellectual property. All intellectual property rights in the Website, the Evogen ONE name and logo, product images, descriptions and other content belong to us  or our licensors. You may not copy or use them without our written consent, except that approved trade customers may use our product images and descriptions, unchanged, to resell the Goods in line with section 10.5.
